Requirements for IPO (Listed on the Indonesia Stock Exchange)

General requirement:

• Have independent commissioners at least 30% of the board of commissioners
• Have at least 1 independent director from the board of directors
• Have an audit committee and an internal audit unit
• Have a company secretary.

Main Requirements

• Have the same core business, more than or equal to 36 months
• Book business profit (profit) in the last 1 financial year
• Have audited financial reports 3 years
• Financial statement opinion: unqualified (last 2 years)
• The form of net assets IDR 100 billion
• The number of shares owned by non-controlling and non-mainstream shareholders is at least 300 million shares and amounting to:
  • 20% of total shares, for equity less than < IDR 500 billion
  • 15% of total shares, for equity IDR 500 billion to IDR 2 trillion
  • 10% of total shares, for equity more than > IDR 2 trillion
  • Number of shareholders 1000 parties.

Development Requirements

• Have the same core business, more than or equal to 12 months
• Do not have to do profit bookkeeping. However, if it has not recorded a profit, based on financial projections at the end of the 2^nd year, it has obtained a profit (specifically for certain sectors at the end of the 6^th year)
• Have audited financial reports 12 months
• Financial statement opinion: unqualified
• The form of net assets IDR 5 billion
• The total number of shares owned by non-controlling and non-mainstream shareholders is at least 150 million shares and amounting to:
  • 20% of total shares, for equity < IDR 500 billion
  • 15% of total shares, for equity IDR 500 billion to IDR 2 trillion
  • 10% of total shares, for equity > IDR 2 trillion
  • Number of shareholders 500 parties.
